Terms of Service

The agreement between us, in plain English.

By using the Floral Intel Platform, you agree to the terms below. These terms are written to be readable, but they are still a binding agreement — please read them. If anything is unclear, the contact page reaches a real person.

1. The service

The Floral Intel Platform ("the Service") is a web-based suite of business tools for independent flower shops, operated by Floral Intel ("we," "us"). The Service is provided as a subscription, with modules that can be turned on and off per shop.

The available modules and their status (live, planned, deprecated) are listed on the Tools page. We may add, remove, or change modules over time. We will give you reasonable notice before retiring a module you actively use.

2. Your account

To use the Service, you create a workspace ("tenant") and invite team members. You are responsible for everything done under your workspace, including the actions of team members you invite. Keep credentials private; if a credential is compromised, contact us promptly so we can help you secure the account.

You must be authorized to act on behalf of the shop you register, and you must provide accurate identifying information at sign-up. We may suspend or terminate accounts that supply false information.

3. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Upload content you don't have the right to upload.
  • Reverse-engineer, scrape, or attempt to extract data from the Service beyond what your workspace exports allow.
  • Probe or attack the Service's security beyond what is reasonable for protecting your own account.
  • Send unsolicited messages through the Service or use it for spam.

We reserve the right to suspend an account engaged in conduct that, in our reasonable judgment, threatens the integrity or availability of the Service for other tenants.

4. Data ownership

You own the data you put into the Service — orders, recipients, photos, notes, audit history. Our role is to host, process, and present that data per your instructions and the platform's design. You grant us a limited license to do exactly that, and nothing else.

We own the Service software, the platform brand, and any aggregated, anonymized analytics derived from operating the Service. We will not derive product features from any single tenant's data in a way that identifies that tenant.

5. Fees and billing

Most modules are paid on a per-shop subscription basis. Pricing is published on the Pricing page as each module ships. Fees are billed in advance, on the schedule chosen at sign-up; renewal is automatic unless you cancel before the renewal date.

We will give you at least 30 days' notice before changing published pricing for a module you have already turned on. Existing subscriptions for that module will continue at the original price until the next renewal after the notice period.

If a payment fails, we will email the tenant administrator and retry. After 14 days of unresolved non-payment, we may suspend access to paid modules; the workspace shell, audit log, and data export remain accessible during suspension so you can retrieve your data.

6. Termination

You can cancel your subscription at any time from your workspace settings or by contacting us. Cancellation takes effect at the end of the current billing period. We don't pro-rate refunds for unused time within a paid period unless required by law.

We may terminate an account for material violations of these terms, with reasonable notice and an opportunity to cure when the violation is curable.

On termination — by either side — we retain your data for 90 days in case you reactivate, then purge it from production storage. Backups age out within the following 30 days. See our Privacy Policy for details.

7. Service availability

We aim for high availability but cannot guarantee uninterrupted service. Scheduled maintenance is communicated in advance via the workspace dashboard; unplanned incidents are reported on a public status page we will publish before our first paid module ships.

If the Service is materially unavailable for more than 24 hours in a calendar month due to our fault, we will issue service credit on request, prorated to the time affected. Service credit is your sole remedy for downtime.

8. Disclaimers and limits

The Service is provided as is and as available, without warranties of any kind, express or implied. Floral Intel does not warrant that the Service will meet your requirements, be free of defects, or operate without interruption.

To the maximum extent permitted by applicable law, our aggregate liability for any claim arising out of or related to these terms is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility.

Floral Intel does not represent or warrant that any dispute or chargeback response generated using the Service will be successful. Outcomes depend on the specific dispute, the issuing bank, and many other factors outside our control. The Service is a tool to help you respond well, not a guarantee of outcome.

9. Indemnification

You agree to indemnify and hold us harmless from third-party claims arising out of (a) your data and how you use the Service, (b) your violation of these terms, and (c) your violation of any third-party right. We will notify you promptly of any claim and cooperate with your defense.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you and we consent to that jurisdiction.

11. Changes

When we materially change these terms, we will post a notice on the workspace dashboard. A change takes effect when you accept it, or when you keep using the Service after we have told you about it. If you do not agree, you may cancel.

12. Wire Service addendum

Addendum version: 2026-10-02. This section applies only if you connect the Floral Intel Agent to a wire service. You are asked to accept it before your first agent is connected, and again whenever this version changes.

What the agent is

The Floral Intel Agent is a small program you install on a computer in your shop. It signs in to your wire service the same way you do, in a browser session it controls, and it acts only within what your own wire-service account is already permitted to do. It does not use a special interface, a partner integration, or any access you do not already have.

What you are authorizing

By connecting an agent you authorize us to operate your wire-service account on your behalf, for the specific tasks the tools you have enabled perform — for example reading incoming orders, and submitting delivery confirmations together with the photo and details your shop captured. The agent does not place orders, change prices, accept or reject orders, or alter your account settings.

Your wire-service credentials

You enter your wire-service username and password into the agent, on your own computer. Those credentials stay on that computer. They are not sent to us, and we do not store them. This means we cannot recover them for you, and it also means a breach of our systems does not expose them.

Copies of wire-service pages

A person at your shop can have the agent send us copies of the wire-service pages they are looking at, so that we can troubleshoot a problem. Passwords are never included in those copies. We delete the copies after 30 days.

Your account, your responsibility

Your agreement with your wire service is between you and them, and it continues to apply. You are responsible for making sure that authorizing automated access is permitted under it. If your wire service objects to the agent, tell us and we will help you disconnect it. You are also responsible for the accuracy of the information your shop records — the agent submits what you captured, it does not verify it.

Turning it off

You can revoke an agent at any time from your workspace, and uninstall it from your computer. Revoking takes effect immediately: the agent can no longer act for you. Nothing already submitted to your wire service is undone by revoking, because that information now lives in their system, not ours.

Availability

Wire services change their websites without notice, and an agent can stop working when they do. We aim to detect and fix that quickly, and to surface a clear failure rather than a silent one — but the agent is a convenience, not a guarantee. Confirmations that matter to you should be verified in your wire service, especially while a shop is new to the tool.

Record of your acceptance

When you accept this addendum we record who accepted it, which version, when, and the network address and browser it was accepted from. We keep that record for as long as your account exists, so that both of us can establish what was agreed.
